Job description
About the Role
We invite Saudi nationals to join a prominent and established organization in Riyadh, focused on the energy, oil & gas, and power sectors. This key leadership position involves strengthening corporate governance, compliance, and accountability across the entire enterprise.
Key Responsibilities
- Lead the design, execution, and ongoing refinement of the corporate governance framework.
- Ensure the Delegation of Authority (DoA) and authority matrices are consistent with corporate goals, legal regulations, and recognized governance standards.
- Provide expert advice and support to the Board of Directors and its committees on compliance, governance, and fiduciary responsibilities.
- Create, distribute, and uphold governance policies and procedures throughout the company.
- Evaluate and improve internal policies, processes, manuals, charters, and operational guidelines to ensure they meet governance requirements and constitutional standards.
- Foster an organizational culture emphasizing transparency, responsibility, risk management, and ethical business practices.
Candidate Requirements
- Must be a Saudi national.
- At least 13 years of proven experience in corporate governance, board affairs, compliance, or secretarial functions.
- Experience with corporate governance in a large-scale energy or oil & gas company based in Saudi Arabia is essential.
- Deep expertise in governance frameworks, regulatory adherence, and risk management concepts.
Educational & Professional Qualifications
- Bachelor's degree in Law or related discipline.
- Master's degree in Law or a relevant field is a valuable addition.
- Professional certifications such as CCEP, GRC Professional Certification, or CISA are advantageous.
